Our total liability to you for any damages shall not exceed the amount paid by you to us in the twelve (12) months preceding the claim.

10. Indemnification

You agree to defend, indemnify, and hold harmless Embee Accounting and its affiliates from and against any claims, damages, obligations, losses, liabilities, costs, or debt arising from your use of the Service or violation of these Terms.

11. Termination

Either party may terminate this agreement at any time:

• You may cancel your subscription through your account settings
• We may terminate for breach of these Terms
• We may terminate with 30 days' notice for any reason

Upon termination, your access to the Service will cease, and data may be deleted according to our data retention policy.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of significant changes via email or through the Service. Continued use of the Service after changes constitutes acceptance of the new Terms.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Republic of Zambia, without regard to its conflict of law provisions.

Any disputes arising under these Terms shall be resolved through good faith negotiations. If negotiations fail, disputes shall be resolved through binding arbitration in accordance with the Arbitration Act of Zambia.
